Job Summary: We are seeking an experienced and dynamic Corporate Lawyer to join our legal team. The ideal candidate will provide legal counsel on a wide range of corporate matters, ensuring that our operations comply with laws and regulations. This role involves managing mergers & acquisitions, corporate governance, contract negotiations, regulatory compliance, risk management, and dispute resolution.

Key Responsibilities:
Corporate Governance:
- Provide legal advice to the board of directors and senior management on governance issues, corporate policies, and internal controls.
Mergers & Acquisitions (M&A):
- Manage legal aspects of mergers, acquisitions, divestitures, and joint ventures.
- Conduct due diligence, negotiate contracts, and ensure compliance with relevant laws and regulations.
Contract Negotiation and Drafting:
- Draft, review, and negotiate various contracts, including employment agreements, supplier contracts, service agreements, and NDAs.
Compliance and Regulatory Matters:
- Ensure company operations comply with laws and regulations such as securities laws, labor laws, data protection, and intellectual property laws.
Risk Management:
- Identify potential legal risks in business operations and propose strategies to mitigate them.
Securities and Finance Law:
- Provide guidance on financial transactions, securities offerings (IPOs), and compliance with stock exchange rules.
Dispute Resolution:
- Manage corporate disputes, including litigation, arbitration, and alternative dispute resolution methods.
Legal Research and Advisory:
- Stay updated on corporate law changes, regulations, and industry standards.
- Advise management on various corporate legal issues.
Corporate Restructuring:
- Assist in corporate restructuring efforts such as bankruptcy, liquidation, or reorganizations.
Intellectual Property (IP) Management:
- Oversee IP assets, including trademarks, patents, and copyrights, and handle legal disputes related to IP.
Qualifications:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Bar Admission: Must be admitted to the bar in the jurisdiction of practice.
- Experience: Several years of corporate law experience, particularly in mergers & acquisitions, securities law, or corporate governance is preferred.
Skills:
- Strong negotiation and communication skills.
- Excellent analytical and research skills.
- Ability to manage multiple tasks and projects simultaneously.
- Deep understanding of corporate, securities, and contract law.
- Strong decision-making and problem-solving skills, especially under pressure.
Preferred Attributes:

- Experience advising public companies or large corporations.
- Ability to work collaboratively with other departments (e.g., finance, compliance, HR).
