Job Title: Transaction Specialist Lawyer
Location: Mumbai
Experience: 7-10 years Post Qualification Experience (P.Q.E.)
Areas of Expertise:
- Drafting and reviewing legal documentation related to:
- Day-to-day business operations
- Fund-raising and debt-raising transactions
- Investments made by the business
- Internal governance and employee-related documentation
- Negotiation and structuring of corporate transactions
- Coordination with external legal advisors for complex transactions
Experience Requirements:
Key Responsibilities:
Legal Documentation & Drafting:
- Prepare, review, and negotiate agreements, term sheets, shareholder agreements, loan agreements, employment contracts, and other key documents.
- Ensure legal accuracy, risk mitigation, and alignment with business objectives.
External Counsel Management:
- Identify and engage external legal counsels or law firms for specialized and complex transactions.
- Coordinate with external advisors to ensure seamless execution of legal matters.
Transaction Support & Execution:
- Work closely with internal teams to facilitate fund-raising, debt-raising, and investment transactions.
- Provide legal inputs and structuring advice to optimize commercial outcomes.
- Ensure compliance with regulatory and corporate governance requirements.
Timely Completion of Assignments:
- Support the legal leadership in ensuring all documentation and legal tasks are completed within deadlines.
- Maintain a strong repository of legal documents and best practices for transactional matters.
Qualifications & Skills:
- LLB from a reputed law school.
- 7-10 years of experience in corporate transactions, M&A, fund-raising, debt financing, and commercial contracting.
- Strong drafting, negotiation, and analytical skills.
- Ability to work efficiently in a fast-paced environment and manage multiple transactions simultaneously.
- Experience in working with business teams and external legal advisors.
